1. General

Unless otherwise agreed in writing, these terms and conditions apply to all sales made by the-perfect-lawn (TPL).


2. Quality of Goods

All information concerning the goods and their performance given orally or in writing by TPL is given in good faith, but is not to be taken as representation by TPL as to performance of goods sold, which will be dependant on the local climatic and other conditions. Sales are made by TPL on the understanding that the Buyer has satisfied himself of the suitability of the goods for their requirements.


3. Price

The price of goods shall be TPL's quoted price taken from the TPL current price list at the time of purchase.


4. Availability

Where the goods of the contract description are, at TPL's disposal at the time agreed for delivery, of insufficient quantity to meet demand, TPL shall not be obliged to buy such goods to make up the shortfall and shall have the right to apportion available stock between Buyers at TPL's absolute discretion and treat any accepted order as amended accordingly. TPL will give Buyers as long notice as possible of any apportionment.

TPL also reserves the right to alter mixtures and supply a similar alternative to the goods ordered by the Buyer if particular products are unavailable.


5. Delivery

The normal delivery schedule for orders will be within 28 days of order however delivery dates given by TPL are estimates only and TPL will accept no liability arising from early or late delivery.
If the Buyer refuses or fails to take delivery of the goods or fails to make a payment when due, TPL reserves the right to repudiate further performance and to hold the Buyer liable for any loss thereby arising.


6. Property and Risk

Risk will pass on the earlier of delivery to the Buyer or carrier arranged by TPL on the Buyer's behalf but the property in the goods shall not pass to the buyer until TPL have received cleared funds payment in full for the price of the goods.


7. Acceptance

The Buyer must inspect goods immediately on receipt and must within 3 days give notice to TPL of any defect in quantity, quality or condition apparent on reasonable inspection, by email.

If the Buyer fails to give such notice and confirmation in the time stated the goods shall be deemed to accord with the contract and the Buyer shall be bound to accept.


8. Seller's Liability

TPL believes that the goods sold by it are free from latent defect (unless otherwise stated), but it is not a condition of sale and no warranty is given that goods are free from latent defect and TPL will accept no liability whatsoever for loss or damage arising from defects in good which could not reasonably have been discovered by TPL prior to delivery, or for defects occurring without negligence on the part of TPL or for mutants generated during reproduction, or for germination or for crop results. TPL 's liability for defects notified according to clause 7 will be limited, at TPL's option, to replacement of the goods or refund of their purchase price.


9. Force Majeure

TPL shall not be responsible for delay in delivery of goods sold or part thereof nor the Buyer for delay in accepting or taking delivery occasioned by any event beyond the reasonable control of the parties including but not limited to act of God, legal requirements, strike, failure of transport, machinery or power, adverse weather, or failure or disease of crops, provided that written notice is given to the other party to the contract within 7 days of the defaulting party's knowledge of the occurrence.


10. Law

The construction, validity and performance to which these conditions apply shall be governed by English Law.


11. The statutory rights of the buyer are not affected by these Terms and Conditions
